Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of TidyBox, available at https://tidybox.eu and operated by RMX Tek Ltd (4 Sv. Ivan, A27, Bansko, Bulgaria 2770), a company registered in Bulgaria. By using the service, creating an account, scanning a TidyBox QR code or managing any box content, you agree to these Terms. If you do not agree, you must not use TidyBox.

Our Privacy Policy explains how we handle personal data and forms part of the agreement between you and us.

2. The Service

TidyBox provides QR-based storage labelling for boxes, containers, shelves and other storage spaces. The service lets users create QR codes, attach them to storage locations, upload photos, maintain item lists, share access and view box contents from a browser. Business plans additionally include batch code generation, branded scan pages, API and AI-assistant (MCP) integration.

TidyBox is offered through a free tier, Pro plans and Business plans. Features, quotas and limits may differ by plan and may be updated from time to time; material reductions of paid features are announced in advance as described in section 17.

3. Eligibility

You must be at least 16 years old to create an account. If you use TidyBox on behalf of a company or other organisation, you confirm that you are authorised to bind that organisation, and "you" includes that organisation.

4. User Accounts

You must provide accurate information when registering and keep your account details up to date. You are responsible for maintaining the security of your account credentials, API tokens and linked notification channels, and for all activity under your account. Notify us promptly at legal@tidybox.eu if you suspect unauthorised use.

5. Open-Code Model

TidyBox supports an open-code model for unclaimed codes. Before a code is claimed by a registered user, any scanner may add, edit or delete content linked to that code.

This is intentional and documented behaviour, not a defect. It allows quick setup without an account, but it also means unclaimed codes must not be used for private or sensitive information.

• Anti-vandalism: We use rate limiting, soft-delete with 24-hour undo and audit logging to reduce abuse.
• Anonymous scanner content: RMX Tek Ltd does not pre-screen and is not liable for content added by anonymous scanners before a code is claimed, subject to section 8.
• Claimed codes: Once a code is claimed, access is controlled by the owner according to the available privacy and sharing settings.

6. Creator Override Rights

Manufacturers, resellers and other creators who generate batch codes may retain override rights for those codes. These rights are intended for product support, recall handling, code recycling and business account administration.

A creator may reset a claimed code with 24-hour notice to the current owner. The current owner receives an email notification and may cancel the reset within 24 hours where cancellation is available for that code.

7. Acceptable Use

You must not upload, create, store or share content that is illegal, harmful or abusive, and you must not misuse the service. In particular, you must not:

• Upload illegal content of any kind, adult or explicit material, or content that unlawfully depicts violence or weapons.
• Upload content that infringes intellectual property, privacy or other rights of third parties.
• Post spam, misleading information or malicious links.
• Attempt to probe, disable, overload or circumvent security or rate limits, scrape the service, or resell access to it without a written agreement.
• Use the service to store or process special categories of personal data (e.g. health, biometric data) or photos of identifiable persons without a lawful basis.

Violations may result in immediate content removal, restriction of features, suspension or termination of the account (section 14).

8. Content Moderation and Abuse Reports

We may use automated screening (including third-party AI moderation tools) and manual review to detect content that violates these Terms. Anyone can report illegal or abusive content to abuse@tidybox.eu, including the code or URL concerned and the reason. We review reports promptly, remove or disable access to content where justified, and inform the reporting party and the affected user of our decision and, where applicable under Regulation (EU) 2022/2065 (Digital Services Act), the reasons for it. Manifestly unfounded or repeated abusive reports may be disregarded.

9. AI Recognition

TidyBox may offer AI-assisted photo recognition to suggest item names or inventory entries from uploaded photos.

• Recognition runs only when you request it for a specific photo. Quotas depend on your plan; all plans include a free allowance per box, and Pro and Business plans include additional monthly quota.
• AI results are suggestions only and may be wrong, incomplete or mislabelled. You are responsible for reviewing, correcting and approving final content.
• You must not rely on AI recognition output for decisions with legal, financial, medical or safety consequences (e.g. valuation, insurance inventories, hazardous-substance identification) without independent verification.
• RMX Tek Ltd is not liable for incorrect AI identification, missing items or inaccurate suggested values.

10. Intellectual Property

You retain ownership of photos, item lists, descriptions and other content you upload to TidyBox. You are responsible for having the necessary rights to the content you upload.

You grant RMX Tek Ltd a limited, non-exclusive, worldwide licence to store, process, reproduce, display and transmit your content solely as needed to provide, secure, moderate and maintain the service, including transmitting photos to the AI providers named in the Privacy Policy when you request recognition. This licence ends when the content is deleted, except for short-lived backup copies.

The TidyBox name, logo, software, user interface, documentation and related materials remain the property of RMX Tek Ltd or its licensors. These Terms do not grant you rights to copy, resell or misuse the TidyBox brand or software.

11. Payment Terms

Pro and Business plans are billed monthly or annually via Stripe. Prices are shown including applicable VAT where required; VAT is calculated and collected automatically based on your country. Subscriptions renew automatically at the end of each billing period until cancelled.

You can cancel at any time via the billing portal in your profile; cancellation takes effect at the end of the current billing period, and you keep access until then. We may change prices with at least 30 days' notice; changes apply from your next billing period, and you may cancel before they take effect.

Business overage is charged at €10 per 100 codes above 1,000 codes per month, unless a separate written agreement states otherwise. If a payment fails and remains unpaid after reasonable reminders, we may downgrade the account to the free tier; content above free-tier limits is preserved in read-only form for at least 60 days.

12. Refund and Withdrawal Policy

14-day money-back guarantee. If you are not satisfied with your first purchase of a TidyBox subscription, you may request a full refund within 14 days of that first payment — no justification required. This reflects and extends your statutory right of withdrawal for consumers in the EU (Directive 2011/83/EU). By starting to use paid features immediately, you expressly request immediate performance of the service; this does not affect the 14-day money-back guarantee above.

• Renewals: Renewal charges are not refundable once the new billing period has begun, except where required by mandatory law — but you can cancel at any time before renewal, and we recommend annual-plan users set a reminder. If you cancel within 14 days of an annual renewal and have not made material use of the service in the new period, contact us and we will refund the renewal as a courtesy.
• One-time purchases (e.g. additional code packs): Refundable within 14 days of purchase provided the codes have not been activated or used.
• How to request: Email billing@tidybox.eu from your account email, stating the transaction. Approved refunds are returned to the original payment method, normally within 5–10 business days.
• Abuse: The money-back guarantee applies once per customer and does not apply to accounts terminated for violating these Terms.

Nothing in this section limits mandatory consumer rights that apply under the law of your country of residence.

Physical products (TidyBox shop)

For physical goods ordered from our online shop, consumers in the EU have the statutory 14-day right of withdrawal: you may cancel your order for any reason within 14 days of receiving the goods. To exercise it, email billing@tidybox.eu from the email address used at checkout, stating your order number. Return the items unused and, where possible, in the original packaging within 14 days of your notice. Unless the goods are defective or not as described, you bear the direct cost of the return shipment; we refund the product price and the standard outbound delivery cost within 14 days of receiving the returned goods (or proof of postage), using your original payment method. If the goods arrive damaged, defective or different from their description, contact us — the return is at our cost and you may choose a replacement or a full refund.

13. Service Availability, Data Export and Backups

TidyBox is provided "as is" and "as available". We aim for high availability but do not guarantee uninterrupted operation; maintenance, updates and factors beyond our control may cause temporary unavailability. This does not limit the legal guarantee of conformity that consumers in the EU have for digital services (Directive (EU) 2019/770).

You can export your data (item lists and photos) using the features available in the app or by requesting a copy under the Privacy Policy. We keep routine backups for disaster recovery, but you remain responsible for keeping independent copies of content that is critical to you.

14. Suspension and Termination

By you: You may stop using TidyBox and delete your account at any time in your profile settings. Deletion of the account removes your content as described in the Privacy Policy.

By us: We may suspend or terminate an account, remove content or restrict features if you materially breach these Terms, use the service unlawfully, endanger its security or other users, or fail to pay amounts due. Where reasonable, we will warn you and give you an opportunity to remedy the breach first; in serious cases (illegal content, security attacks) we may act immediately. Upon termination for breach, fees already paid are non-refundable to the extent permitted by law.

If we decide to discontinue the TidyBox service as a whole, we will give registered users at least 60 days' notice and the opportunity to export their data, and will refund the unused portion of prepaid subscription periods.

15. Limitation of Liability

Nothing in these Terms excludes or limits our liability for intent or gross negligence, for death or personal injury, or for any liability that cannot be excluded under applicable law, and nothing limits mandatory consumer rights.

Subject to the above, RMX Tek Ltd is not liable for:

• Loss of data caused by user error or failure to keep independent copies of critical content.
• Content added by third-party scanners before a code is claimed.
• Interruption, delay or unavailability of the service.
• Incorrect AI recognition results or decisions you base on them.
• Indirect or consequential losses, loss of profit or loss of business, to the extent permitted by law.

Subject to the first paragraph of this section, RMX Tek Ltd's total aggregate liability for all claims relating to TidyBox in any 12-month period is limited to the greater of (a) the fees you paid for the service in the 12 months preceding the claim and (b) €50.

16. Indemnification

If you use TidyBox in the course of a business, you will indemnify RMX Tek Ltd against third-party claims, damages and reasonable costs arising from content you upload or your breach of these Terms, except to the extent caused by our own fault. For consumers, this clause applies only to the extent permitted by the law of your country of residence.

17. Changes to Terms and to the Service

We may update these Terms and the service from time to time. For material changes that negatively affect you, we will notify registered users by email at least 30 days before they take effect; if you do not agree, you may terminate your account (and, for prepaid periods, receive a pro-rata refund of the affected paid period). Continued use of TidyBox after the updated Terms take effect constitutes acceptance. Non-material changes (e.g. clarifications, new optional features) may take effect immediately.

18. Force Majeure

Neither party is liable for failure to perform caused by events beyond its reasonable control, including outages of upstream providers, war, natural disasters, or acts of authorities. Obligations are suspended for the duration of the event.

19. Governing Law and Disputes

These Terms are governed by the laws of Bulgaria. Any disputes will be resolved by the competent courts of Bulgaria — except that if you are a consumer residing in the EU, you retain the protection of mandatory provisions of, and the right to bring proceedings in, your country of residence.

Consumers may also use alternative dispute resolution: complaints can be addressed first to legal@tidybox.eu, and unresolved consumer disputes may be brought before the recognised consumer ADR bodies in Bulgaria or your country of residence.

20. Miscellaneous

If any provision of these Terms is found invalid, the remaining provisions remain in force, and the invalid provision is replaced by a valid one that comes closest to its purpose. These Terms, together with the Privacy Policy and any plan-specific written agreement, are the entire agreement between you and RMX Tek Ltd regarding TidyBox. We may assign this agreement as part of a business transfer; your rights are not reduced by such assignment.
